Welcome to Clipbait.

These Terms of Service (“Terms”) govern your access to and use of the Clipbait website, software, and AI-powered video clipping platform (the “Service”), operated by Spirit Realm Technologies LLC, doing business as Clipbait (“Clipbait,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use Clipbait.

1. Eligibility

You must be at least 18 years old to use Clipbait. By using the Service, you represent that you have the legal capacity to enter into this agreement.

2. The Service

Clipbait provides AI-powered tools that:

• Turn livestreams and videos into short clips
• Generate captions and titles
• Allow scheduling and publishing to social platforms

We may modify or improve the Service at any time.

3. Accounts

You are responsible for:

• Maintaining the security of your account
• All activity under your account
• Providing accurate information

You must notify us immediately of any unauthorized access.

4. User Content

You retain ownership of the content you upload.

By using Clipbait, you grant us a limited license to process your content solely for the purpose of providing the Service (clipping, captioning, publishing).

You are responsible for ensuring you have the rights to use any content you upload.

5. Prohibited Use

You agree not to use Clipbait to:

• Violate copyright or intellectual property laws
• Upload illegal, harmful, or abusive content
• Interfere with the Service’s operation
• Attempt to reverse engineer or exploit the platform
• Bypass usage limits or payment systems

We may suspend or terminate accounts that violate these rules.

6. AI-Generated Content

Clipbait uses artificial intelligence to generate clips and captions. Results may not always be accurate or appropriate. You are responsible for reviewing content before publishing.

7. Subscription Plans & Payments

Clipbait operates on a subscription model.

By subscribing, you agree that:

• Payments are billed in advance
• Fees are non-refundable except as required by law
• Your plan determines usage limits (videos processed, clips generated, etc.)
• Exceeding limits may restrict Service access until the next billing cycle

We use Stripe to process payments securely.

8. Cancellations

You may cancel your subscription at any time through your account settings. Cancellation stops future billing but does not retroactively refund past payments.

9. Third-Party Platforms

Clipbait integrates with third-party platforms including but not limited to YouTube, X (Twitter), TikTok, Instagram, Facebook, and others.

By connecting accounts, you agree to follow the terms and policies of those platforms. Clipbait is not responsible for actions taken by those platforms (content removal, account bans, etc.).

10. Termination

We may suspend or terminate your access at any time if you violate these Terms or misuse the Service.

You may stop using the Service at any time.

11. Intellectual Property

The Clipbait platform, software, design, branding, and technology are owned by Spirit Realm Technologies LLC. You may not copy, modify, distribute, or resell any part of the Service.

12. Disclaimers

Clipbait is provided “as is” and “as available.”

We do not guarantee:

• Specific growth or engagement results
• Platform uptime without interruption
• That AI outputs will always be accurate

Use of the Service is at your own risk.

13. Limitation of Liability

To the maximum extent allowed by law, Spirit Realm Technologies LLC shall not be liable for:

• Loss of profits or business
• Loss of content or data
• Indirect or consequential damages
• Issues caused by third-party platforms

Our total liability shall not exceed the amount you paid us in the last 12 months.

14. Indemnification

You agree to indemnify and hold harmless Spirit Realm Technologies LLC from any claims, damages, or legal fees arising from your content or misuse of the Service.

15. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

16. Changes to Terms

We may update these Terms at any time. Continued use of Clipbait after updates means you accept the revised Terms.
